These Terms and Conditions (“Agreement”) govern your participation in the Hence Tea Affiliate Program (“Program”) operated by Hence Tea (“Hence Tea”, “we”, “us”, or “our”). By registering for or participating in the Program, you (“Affiliate”, “you”) agree to be bound by this Agreement in full. If you do not agree, please do not apply for or participate in the Program.

Definitions

Throughout this Agreement, the following terms carry the meanings set out here. “Affiliate” means any individual or entity approved by Hence Tea to participate in the Program. “Affiliate Link” means the unique tracking URL assigned to an Affiliate upon approval. “Coupon Code” means the personalised discount code assigned to an Affiliate for sharing with their audience. “Commission” means the percentage of the Net Sale Value earned by an Affiliate for each Qualifying Sale. “Qualifying Sale” means a completed, paid, and non-refunded purchase made by a customer through an Affiliate’s Link or Coupon Code within the Tracking Window. “Net Sale Value” means the total order value excluding taxes, shipping fees, and any applied discounts. “Tracking Window” (also referred to as “Cookie Duration”) means the period during which a purchase is attributed to an Affiliate after a link click, currently set at 30 days. “Affiliate Dashboard” means the online portal through which Affiliates monitor their clicks, sales, and commissions.

Eligibility and Enrolment

The Program is open to individuals and entities who are at least 18 years of age, who operate a website, blog, social media account, newsletter, or other active digital platform, who agree to comply with all applicable laws in their jurisdiction, and who have not previously been removed from the Program for a breach of this Agreement. Hence Tea reserves the right to approve or reject any application at its sole discretion, without obligation to provide a reason.

There is no minimum follower count required to apply. We value authentic content and genuine audience engagement over audience size alone. The Program is currently open to Affiliates based in United States. Hence Tea reserves the right to adjust geographic eligibility at any time. By submitting an application, you confirm that all information provided is accurate and complete.

Affiliate Links and Coupon Codes

Upon approval, you will receive a unique Affiliate Link that tracks purchases to your account and a personalised Coupon Code offering your audience 10% off their order. You may use your Affiliate Link and Coupon Code on any platform you own or operate, subject to the restrictions set out in Section 6 of this Agreement. You may also create custom deep links to any page on hencetea.com using the tools available in your Affiliate Dashboard.

Your Affiliate Link and Coupon Code are for your exclusive use and must not be shared with, transferred to, or used by any third party for the purpose of earning commissions. Hence Tea reserves the right to modify, deactivate, or reassign Affiliate Links and Coupon Codes at its sole discretion.

Commissions

Affiliates earn a commission of 10% of the Net Sale Value of each Qualifying Sale. A sale is attributed to an Affiliate if the customer either clicks the Affiliate’s Link and completes a purchase within the Tracking Window, or uses the Affiliate’s Coupon Code at checkout. Where a customer clicks multiple Affiliate Links before purchasing, last-click attribution applies, meaning the commission is credited to the most recent link clicked, unless Hence Tea determines otherwise at its sole discretion.

Certain sales do not qualify for commission. These include purchases made by the Affiliate themselves or members of their immediate household, orders that are subsequently cancelled, returned, or charged back, sales generated through any of the prohibited promotional methods described in Section 6, duplicate or fraudulent orders, sales generated by automated or bot traffic, and wholesale or bulk orders made under a separate commercial arrangement with Hence Tea. Hence Tea may withhold or reverse commissions where there is reasonable suspicion of fraud, manipulation, or breach of this Agreement, pending investigation.

Payment of Commissions

Commissions are calculated and paid monthly, within 30 days of the end of each calendar month. Commissions will only be released once your account balance reaches a minimum of USD $25.00. Balances below this threshold will roll over to the following payment period. Payments are made via PayPal, and it is your responsibility to ensure your payment details in the Affiliate Dashboard are current and accurate. All commissions are paid in USD.

You are solely responsible for reporting and paying any taxes applicable to commissions you receive. Hence Tea will not withhold taxes on your behalf unless required to do so by applicable law, in which case Hence Tea may request tax documentation such as a W-9 or W-8BEN form before releasing payment. If a payment cannot be processed due to incorrect payment details and remains unclaimed for 90 days, the amount may be forfeited at Hence Tea’s discretion.

Permitted and Prohibited Conduct

Affiliates may promote Hence Tea products and their Affiliate Link through original content on personal websites and blogs, organic posts on social media platforms including Instagram, TikTok, YouTube, Facebook, Pinterest, and X, email newsletters sent to a legitimately obtained subscriber list, podcast mentions, video content, and any other honest, transparent, and organic promotional channel.

The following methods are strictly prohibited and may result in immediate termination of your account and forfeiture of any outstanding commissions. You may not bid on Hence Tea branded keywords, including any variation or misspelling of “Hence Tea” or “hencetea.com”, on any paid search platform such as Google Ads or Bing Ads. You may not tamper with, cloak, redirect, or misrepresent Affiliate Links in any way. You may not forcibly place affiliate tracking cookies on users’ devices without their knowledge or consent — a practice known as cookie stuffing. You may not use scripts, bots, or automated systems to generate artificial clicks, impressions, or purchases. You may not use persistent, intrusive, full-screen, or exit-intent pop-ups in connection with your promotion of Hence Tea. You may not embed Affiliate Links in a way that conceals their nature or destination from users. You may not create websites, social media accounts, or other content that could reasonably be mistaken for an official Hence Tea store or communication. You may not make false, exaggerated, or unsubstantiated claims about Hence Tea products. You may not send unsolicited bulk emails or messages promoting Hence Tea or your Affiliate Link. You may not offer rewards or incentives solely in exchange for clicking a link without genuine purchase intent. You may not use Hence Tea’s trademarks, logos, or brand assets without prior written approval. You may not engage in any activity that violates applicable laws or regulations, including consumer protection law, advertising standards, and privacy regulations such as GDPR and CAN-SPAM.

You must clearly and conspicuously disclose your affiliate relationship with Hence Tea in all promotional content, in compliance with applicable advertising standards including FTC guidelines in the United States, ASA rules in the United Kingdom, and equivalent requirements in other jurisdictions. A disclosure such as “This post contains affiliate links — I may earn a commission if you purchase through my link, at no extra cost to you” is recommended.

Brand Assets and Intellectual Property

Subject to this Agreement, Hence Tea grants Affiliates a limited, non-exclusive, non-transferable, and revocable licence to use Hence Tea’s name, logo, and approved product images solely for the purpose of promoting the Program in accordance with this Agreement. Affiliates may use any content distributed through the Hence Tea product data feed. Use of additional images, copy, or brand assets from hencetea.com requires prior written approval from Hence Tea, which can be requested by emailing customersupport@hencetea.com.

Affiliates may not alter or modify Hence Tea’s brand assets, use Hence Tea’s trademarks in any domain name or social media handle, or use brand assets in any context that is defamatory, obscene, or otherwise damaging to the Hence Tea brand. All intellectual property rights in Hence Tea’s brand, products, website, and content remain the exclusive property of Hence Tea. No ownership rights are transferred by this Agreement.

Relationship of the Parties

The Affiliate is an independent contractor. Nothing in this Agreement creates an employment, agency, partnership, or joint venture relationship between the Affiliate and Hence Tea. The Affiliate has no authority to bind Hence Tea contractually or to make any representations on Hence Tea’s behalf. This Agreement is non-exclusive: Hence Tea may enter into affiliate arrangements with other parties at any time, and the Affiliate is free to promote other brands, provided this does not conflict with any restriction in this Agreement.

Term and Termination

This Agreement commences on the date of your approval into the Program and continues until terminated by either party. You may terminate at any time by emailing customersupport@hencetea.com and ceasing all promotional activity. Any commissions accrued above the minimum payout threshold at the time of termination will be paid on the next scheduled payout date.

Hence Tea may terminate or suspend your participation in the Program at any time, with or without cause. Grounds for immediate termination with forfeiture of outstanding commissions include breach of any provision of this Agreement, fraudulent activity or manipulation of the affiliate tracking system, conduct that is harmful or damaging to the Hence Tea brand or reputation, and failure to comply with applicable law. Upon termination, you must immediately remove all Affiliate Links, Coupon Codes, and Hence Tea brand assets from your platforms.

Modifications to the Program

Hence Tea reserves the right to modify, suspend, or discontinue the Program or any aspect of it — including commission rates, the Tracking Window, payment terms, and eligibility requirements — at any time. Hence Tea will endeavour to provide reasonable advance notice of material changes via email or a notice in the Affiliate Dashboard. Your continued participation in the Program after the effective date of any changes constitutes your acceptance of the revised terms.

Disclaimers and Limitation of Liability

The Program and all related services are provided “as is” and “as available” without warranties of any kind, express or implied. Hence Tea does not guarantee any particular level of traffic, conversions, sales, or earnings from your participation in the Program. To the fullest extent permitted by applicable law, Hence Tea shall not be liable for any indirect, incidental, consequential, special, or punitive damages arising out of or in connection with this Agreement or your participation in the Program. Hence Tea’s total liability to any Affiliate under this Agreement shall not exceed the total commissions paid to that Affiliate in the three months immediately preceding the event giving rise to the claim.

Indemnification

You agree to indemnify, defend, and hold harmless Hence Tea, its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses — including reasonable legal fees — arising out of or relating to your participation in the Program, your breach of this Agreement, your violation of any applicable law or third-party rights, or any content you publish in connection with the Program.

Confidentiality

You agree to keep confidential any non-public information you receive from Hence Tea in connection with the Program — including commission rates, promotional terms, and business strategies — and not to disclose such information to any third party without Hence Tea’s prior written consent.

Governing Law and Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of the State of California, USA, without regard to conflict of law principles. Any dispute arising out of or in connection with this Agreement shall first be subject to good-faith negotiation between the parties. If the dispute remains unresolved within 30 days of notice, it shall be submitted to the courts of competent jurisdiction in the State of California, USA.

General Provisions

This Agreement constitutes the entire agreement between the parties with respect to the Program and supersedes all prior understandings and representations. If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect. Failure by Hence Tea to enforce any provision of this Agreement at any time shall not constitute a waiver of its right to enforce that provision in the future. You may not assign or transfer your rights or obligations under this Agreement without Hence Tea’s prior written consent. Hence Tea may assign this Agreement freely. All notices to Hence Tea should be sent to customersupport@hencetea.com. Hence Tea may send notices to Affiliates at the email address registered in their Affiliate account. This Agreement is written in English, and any translations provided are for convenience only — the English version prevails in the event of any inconsistency.
